These Terms of Use (“Terms”) govern your access to and use of websites, mobile applications, and other products and services provided by Valor & Forge (“Valor & Forge,” “we,” “us,” or “our”) (collectively, the “Services”).
By accessing or using any Valor & Forge Service, you agree to these Terms. If you do not agree to these Terms, you should not access or use the Services.
These Terms apply to all Valor & Forge applications and services unless a specific Service provides separate terms.
1. Eligibility
You may use the Services only if you are legally permitted to enter into a binding agreement in your jurisdiction.
If you are using the Services on behalf of a company, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.
2. Accounts
Some Services may require you to create an account.
You agree to provide accurate information and to keep your account information reasonably current.
You are responsible for maintaining the confidentiality and security of your login credentials and for activity that occurs through your account.

3. License to Use the Services
Subject to these Terms, Valor & Forge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.
This license does not give you ownership of any Valor & Forge software, designs, trademarks, source code, content, or other intellectual property.
4. Acceptable Use
You agree not to misuse the Services.
You may not use the Services to:
- Violate any applicable law or regulation
- Infringe the rights of another person or organization
- Harass, threaten, abuse, or harm others
- Attempt to gain unauthorized access to accounts, systems, networks, or data
- Introduce malware, viruses, malicious code, or harmful software
- Interfere with or disrupt the operation of the Services
- Attempt to bypass security controls or usage restrictions
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code except where applicable law expressly permits it
- Use automated systems to scrape, crawl, or extract data from the Services in an abusive or unauthorized manner
- Use the Services for fraudulent, deceptive, or unlawful activity
We may suspend or terminate access to the Services if we reasonably believe they are being misused.
5. User Content
Some Valor & Forge Services may allow you to create, upload, enter, store, or share content, including projects, tasks, scores, notes, records, preferences, files, or other information (“User Content”).
You retain ownership of your User Content.
You grant Valor & Forge a limited license to host, store, process, reproduce, transmit, and display your User Content only as reasonably necessary to provide, maintain, secure, and improve the Services.
You are responsible for ensuring that you have the necessary rights to any content you submit to the Services.
You agree not to submit content that:
- Violates applicable law
- Infringes intellectual property, privacy, or other rights
- Contains malicious software or harmful code
- Is fraudulent, deceptive, or intentionally harmful
6. Shared Features
Some Services may allow you to share projects, tasks, records, scores, or other information with other users.
You are responsible for deciding what information you share and with whom you share it.
Once information is shared with another user, that user may be able to access, copy, modify, or retain that information depending on the functionality of the Service.
Valor & Forge is not responsible for how other users use information that you voluntarily share with them.
7. Purchases and Subscriptions
Some Services may offer paid features, subscriptions, or one-time purchases.
Purchases made through Apple’s App Store, Google Play, or another third-party platform are processed by that platform and are also subject to its payment terms and policies.
Prices, billing periods, available features, and subscription terms will be displayed before purchase.
Subscriptions may renew automatically unless canceled before the renewal date in accordance with the rules of the platform through which you purchased the subscription.
Valor & Forge does not control the billing systems of Apple, Google, or other third-party marketplaces.
Refunds
Refund requests for purchases made through the Apple App Store, Google Play, or another marketplace may be governed by that marketplace’s refund policies.
Where Valor & Forge directly processes a payment, any applicable refund terms will be provided at the time of purchase.
8. Free Trials and Promotional Offers
We may offer free trials, introductory pricing, promotional access, discounts, or other offers from time to time.
Additional terms may apply to those offers.
Unless otherwise stated, promotional offers may be changed or discontinued at any time.
9. Intellectual Property
The Services, including their software, designs, graphics, logos, trademarks, text, interfaces, features, and other content provided by Valor & Forge, are owned by or licensed to Valor & Forge and are protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, license, publicly display, or create derivative works from Valor & Forge intellectual property except as expressly permitted by us or by applicable law.
“Valor & Forge” and associated product names, branding, and logos may not be used without permission where such permission is legally required.
10. Feedback
If you provide ideas, suggestions, comments, or other feedback regarding the Services, you agree that we may use that feedback without restriction or obligation to you.
This does not transfer ownership of unrelated content you create or store in the Services.
11. Third-Party Services
The Services may integrate with, rely upon, or link to third-party products and services.
These may include app stores, authentication providers, cloud hosting providers, payment processors, analytics services, or other platforms.
Valor & Forge is not responsible for the availability, content, security, policies, or practices of third-party services.
Your use of third-party services may be governed by separate terms and privacy policies.
12. Availability and Changes to the Services
We work to keep our Services available and reliable, but we do not guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable because of maintenance, updates, infrastructure failures, third-party outages, security issues, or other circumstances.
We may add, modify, suspend, or discontinue features or Services at any time.
Where reasonably practical, we may provide notice before discontinuing a significant Service, but we are not obligated to maintain any particular feature indefinitely.
13. Beta and Experimental Features
Some features may be identified as beta, preview, experimental, or otherwise under development.
These features may be incomplete, changed, or discontinued without notice and may contain errors or behave unexpectedly.
14. Data and Backups
While we may use reasonable systems to store and protect data, you are responsible for maintaining copies of information that is important to you when appropriate.
We do not guarantee that User Content will never be lost, corrupted, deleted, or unavailable.
15. Privacy
Your use of the Services is also governed by our Privacy Policy.
Our Privacy Policy explains how we collect, use, share, and protect information associated with the Services.
16. Suspension and Termination
You may stop using the Services at any time.
If a Service provides account deletion functionality, you may use that functionality to close your account.
We may suspend, restrict, or terminate your access to a Service if:
- You materially violate these Terms
- Your use creates a security, legal, or technical risk
- Your activity is fraudulent, abusive, or unlawful
- We are required to do so by law
- We discontinue the applicable Service
Where appropriate and reasonably possible, we may provide notice before termination.
17. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Valor & Forge disclaims warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that:
- The Services will always be available
- The Services will be free from errors or interruptions
- All defects will be corrected
- Stored information will never be lost
- The Services will meet every user’s specific requirements
Some jurisdictions do not allow certain warranty exclusions, so some of the above limitations may not apply to you.
18. Limitation of Liability
To the fullest extent permitted by applicable law, Valor & Forge and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Services.
This includes, without limitation, damages related to:
- Loss of data
- Loss of profits or revenue
- Business interruption
- Loss of opportunity
- Loss of goodwill
- Unauthorized access to information
To the fullest extent permitted by applicable law, Valor & Forge’s total liability arising out of or relating to a Service will not exceed the greater of:
- The amount you paid Valor & Forge for that Service during the twelve months immediately preceding the event giving rise to the claim; or
- One hundred U.S. dollars ($100)
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Valor & Forge and its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from:
- Your misuse of the Services
- Your violation of these Terms
- Your violation of applicable law
- Your infringement of another person’s rights
- User Content you submit or share through the Services
20. Governing Law
These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
Any dispute arising from these Terms or the Services will be brought in a court of competent jurisdiction located in Tennessee, unless applicable law provides you with the right to bring a claim elsewhere.
21. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements.
When we update these Terms, we will revise the “Last Updated” date at the top of this page.
If a change materially affects your rights or obligations, we may provide additional notice where appropriate.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
22. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.
23. No Waiver
If Valor & Forge does not enforce a provision of these Terms, that does not constitute a waiver of our right to enforce that provision later.
24. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to a particular Service, constitute the agreement between you and Valor & Forge regarding your use of the Services.
